Interim Report for the First Quarter: Period of Transition - Transfer of Hospitals Sold to Fresenius / Helios - Financial Figures Reflect Exceptional Situation

- 567,137 patients treated

- Financial figures significantly influenced by extraordinary effects

- Revenues amount to EUR 629.5 million

- EBITDA stands at EUR 1,488.0 million due to sales proceeds

Bad Neustadt / Saale, 14 May 2014

The first quarter in 2014 was a period of transition for RHÖN-KLINIKUM AG. The company's financial figures were significantly influenced by the sale of a total of 40 hospitals to Fresenius / Helios which was largely completed in this period. The financial statement for the first three months of the current financial year therefore includes two months with the full consolidation of the previous portfolio in its entirety as well as the month of March with an adjusted balance sheet showing the concluded sale transaction. Added to this are numerous primarily positive one-off effects but there are also burdens, both of which can generally be attributed to the transaction.

The company's new, highly specialised portfolio concentrating on cutting-edge medical care now consists of the hospitals in Bad Berka, Bad Neustadt, Frankfurt (Oder) and the university hospitals in Giessen and Marburg. Furthermore the hospitals in Boizenburg, Cuxhaven and Waltershausen-Friedrichroda still currently belong to the corporate group. We are now working on a long-term future concept for these hospitals in order to guarantee healthcare delivery, offer security for the future and satisfy the interests of both patients and employees. The shares in Dr. Horst Schmidt Kliniken in Wiesbaden are to be transferred probably at the end of May following approval by the town of Wiesbaden as the majority shareholder. This would complete the sale transaction for all hospitals.

Taking the above exceptional situation into account, 567,137 patients were treated in the hospitals of RHÖN-KLINIKUM AG in the first quarter of the current financial year. Revenues are at EUR 629.5 million while earnings before interest, taxes, depreciation and amortisation (EBITDA) amount to EUR 1,488.0 million.

OutlookThe rest of the financial year will also be influenced by the structural re-orientation of the company as well as other short-term consequences of the sale transaction. Implementing the future concept for the hospitals in Boizenburg, Cuxhaven and Waltershausen-Friedrichroda and the consolidation of Dr. Horst Schmidt Kliniken which will continue into the second quarter will leave a mark on the corporate financial figures.

RHÖN-KLINIKUM AG will not give a target for revenues and earnings for the current financial year 2014 due to these additional circumstances. We confirm our outlook with revenues of EUR 1.06 billion to EUR 1.12 billion and earnings before interest, tax, depreciation and amortisation (EBITDA) of between EUR 145 million and EUR 155 million for 2015, the first full financial year with the new corporate structure. This outlook is subject to any regulatory changes which may affect the framework conditions for financing hospitals.

"The process of developing from a heterogeneously decentralised hospital network into an integrated healthcare group is in full swing; the company is growing and coming together in many ways," said the CEO, Dr. Dr. Martin Siebert. "In the future we shall be able to focus on offering our patients innovative, maximum-care-orientated medical services even more than in the past. Expanding the medical care network with additional insurance which we are currently strongly promoting with our partners will grant us an improved competitive position and offer us attractive future growth potential."
