10. Other explanatory remarks: | On 28.2.2020, Asklepios Kliniken GmbH & Co. KGaA ("AK") concluded a purchase agreement ("PA") with Eugen Münch ("EM") and Ingeborg Münch ("IM") regarding the acquisition of a 12.39% shareholding in RHÖN-KLINIKUM AG ("RHK"), subject to a condition precedent. Concerning one part of the transaction (5.81%), the condition has been met on 26.5.2020. According to a joint venture agreement dated 28.2.2020 ("JV Agreement"), AK has undertaken, subject to a condition precedent, to contribute AK's direct shareholding, existing after the partial completion of the PA, in RHK (34.49%) into AMR Holding GmbH ("AMR"), which took place on 26.5.2020. According to the JV Agreement, HCM SE has undertaken, subject to a condition precedent, to contribute its 7.61% shareholding in RHK into AMR, which was completed on 26.5.2020. Following the partial completion of the PA and the contributions, AMR holds 42.11% of the voting shares in RHK. HCM SE and AK coordinate their behavior with regard to these shares. |
