10. Other explanatory remarks: | Asklepios Kliniken GmbH & Co. KGaA ("Asklepios") acquired a 6.58% shareholding in RHÖN-KLINIKUM AG ("RHÖN") on 28 May 2020 on the basis of the share purchase agreement with E. Münch and I. Münch dated 28 February 2020 and contributed it to AMR Holding GmbH ("AMR") on the same day in accordance with the joint venture agreement dated 28 February 2020 ("JVV"). On 28 May 2020, Asklepios acquired a further shareholding of 0.54% based on the share purchase agreement with the Münch Foundation dated 1 March 2020. Under the JVV, Asklepios is obliged to contribute the shareholding of 1.08% acquired from the Münch Foundation to AMR. In order to avoid double counting, the voting rights held by Asklepios and the instruments held by AMR were offset in accordance with section 38 (1) sentence 1 no. 2 of the WpHG. |
