Ad hoc-Notification pursuant to Section 15 (1) WpHG

Shareholders announce legal action against resolutions of Annual General
Meeting of RHÖN-KLINIKUM AG held on 12 June 2013

The shareholder B. Braun Holding GmbH & Co. KG has announced today through
its legal advisor that B. Braun Holding GmbH & Co. KG and other
shareholders or shareholder representatives intend to challenge in court
the resolutions adopted by the Annual General Meeting of RHÖN-KLINIKUM AG
held on 12 June 2013. This includes the resolution to delete the majority
requirement of more than 90 % for certain important resolutions.

The deletion of the requirement of a majority of more than 90% of the
represented share capital provided for in Section 17 (4), 1st sub-paragraph
of the articles of association, which has been resolved in the Annual
General Meeting held on 12 June 2013, will become effective only upon entry
into the commercial register of RHÖN-KLINIKUM AG. Due to the announcement
of legal action against the resolutions of the Annual General Meeting, the
management board has not yet filed the amendment to the articles of
association with the commercial register in order to further assess the
situation. If and when the amendment to the articles of association will be
filed with, and entered into, the commercial register, is depended on this
assessment and the announced court proceedings.
