RHÖN-KLINIKUM AG, one of the largest healthcare providers in Germany, today held its 37th Annual General Meeting. The shareholders met virtually.
The shareholders of the Company reaffirmed their trust in the Board of Management and the Supervisory Board and gave majority approval to all agenda items.
In their speech the Board of Management of RHÖN-KLINIKUM AG, Dr. Stefan Stranz and Dr. Gunther K. Weiß, emphasised the Company’s development and performance. “For more than 50 years we have been operating in a very challenging environment, and have gained a very good position during that time. We are a very solid company, have fully met our financial targets also for 2024, and are well prepared to meet the challenges and tasks ahead with the impending hospital reform”, Dr. Stefan Stranz said.
“With its unique combination of excellent research, teaching and patient care, the University Hospital Giessen and Marburg, which is part of our Company, is an indispensable pillar for Hesse as a healthcare and research location. That’s why we now have to take the next step to retain an equal economic playing field for these two university hospitals. It just cannot be the case that they should be the only ones in Germany to be denied the right to equal treatment under the Germany’s dual hospital financing system and that we are left to cover a major part of the investment costs for necessary investments in construction, technology and innovation ourselves”, Dr. Gunther K. Weiß emphasised.
The Annual General Meeting approved all agenda items by a large majority. The shareholders accepted the proposal by the Board of Management and the Supervisory Board to distribute a dividend of EUR 0.10 per share with dividend entitlement for financial year 2024 and to carry forward the remaining amount of approximately EUR 28 million to new account.
96,36% of the registered share capital was represented at the Annual General Meeting. The resolution on the appropriation of net distributable profit was approved by a majority of 99,98%. In addition to the approval of the acts of the Board of Management and the Supervisory Board by majorities of 98,62% and 98,62%, respectively, the regular election of the members of the Supervisory Board was held. Dr. Jan Liersch was once again elected as chairman of the Supervisory Board.
