Dissemination of an Ad hoc announcement according to § 15 WpHG, transmitted

Based on closer analysis, the Management Board of RHÖN-KLINIKUM AG decided
today, to file for entry into the commercial register, the deletion of the
requirement of a majority of more than 90% of the represented registered
share capital provided for in Section 17 (4), 1st sub-paragraph of the
articles of association resolved by the Annual General Meeting on 12 June
2013 (the 'Amendment'). Up to now the statements of claim in the legal
proceedings against the resolution regarding the Amendment which have been
announced in particular by B. Braun Holding GmbH Co. KG have not yet been
served on the Company. Approximately two weeks after the Annual General
Meeting, it was in the meanwhile possible to comprehensively consider the
issues raised. After intensive analysis, the Management Board considers the
expectable main arguments of the plaintiffs in the announced legal
proceedings as not valid and decided - also in view of the interest of the
Company in the Amendment and the large majority in favor of the resolution
- to suspend the filing for entry into the commercial register not any
longer.

The Amendment will become effective only upon entry into the commercial
register. In principle, neither objections recorded in the notarial minutes
of the Annual General Meeting, the announcement by individual shareholders
of their intention to institute legal proceedings against the resolution
regarding the Amendment nor the actual institution of such legal
proceedings constitute obstacles to entry into the commercial register.
However, the registry court may suspend the entry proceedings until expiry
of the statutory term for the filing of legal proceedings against the
resolution regarding the Amendment and, in the event legal proceedings were
instituted in due time, await the decision in such legal proceedings.

Since statements of claim have not yet been served on the Company, it
cannot be finally foreseen if and based on which grounds in detail the
resolution regarding the Amendment will be challenged in court. However,
based on its previously announced further analysis and in light of the
expected main argumentation, the Management Board considers the resolution
regarding the Amendment adopted in the Annual General Meeting on 12 June
2013 as lawful and in the interest of the Company in any case, and thus
decided to file for entry into the commercial register.
