I. Capital increase from authorised capital
Today the management board of RHÖN-KLINIKUM Aktiengesellschaft has resolved, with the supervisory board's consent, a capital increase from authorised capital.
According to this resolution, the company’s share capital will be increased, against cash contributions, from currently €259,200,000.00 by up to €86,380,000.00 to an amount of up to €345,580,000.00 by way of an issue of up to 34,552,000 no-par value shares, each with an arithmetical pro rata amount of €2.50.
It is expected that the new shares will be offered for subscription to the company’s shareholders in the period from, and including, 22 July 2009 until, and including, 4 August 2009 at a subscription price of €13.30 for each new share, and in a proportion of 3 to 1, i.e. three existing shares entitle to subscribe for one new share. It is expected that trading of subscription rights will be organised at the Frankfurt stock exchange from, and including, 22 July 2009 until, and including, 31 July 2009. Subsequent to the subscription period, a private placement of the unsubscribed new shares with institutional investors by the syndicate banks, led by Commerzbank AG and Morgan Stanley Bank AG, is planned.

II. Publication of the semi-annual financial report (section 37w of the German Securities Trading Act) as of 30 June 2009, prior to the originally scheduled publication date
In connection with the capital increase from authorised capital as resolved today, the management board of RHÖN-KLINIKUM Aktiengesellschaft has resolved to publish the semi-annual financial report as of 30 June 2009 originally scheduled for 6 August 2009 prior to that date, on 30 June 2009. It is expected that the semi-annual financial report as of 30 June 2009 will already be published on 20 July 2009.
