Clearance of Fresenius Transaction by Merger Control Authorities Appears Imminent

  • Hospitals in Cuxhaven, Waltershausen-Friedrichroda and Boizenburg Initially to Remain with RHÖN for Merger Control Reasons

The hospitals in Cuxhaven, Waltershausen-Friedrichroda and Boizenburg have been removed from the application to the German Bundeskartellamt (Independent Competition Authority) following a current evaluation of merger control aspects for the entire transaction. These facilities will not transfer to Fresenius / Helios but will initially remain with the RHÖN KLINIKUM AG corporate group. This also applies to a number of medical care centre (MVZ) companies which are connected to the above hospitals either for regional reasons or through their corporate concept. In the next few months RHÖN-KLINIKUM AG will develop and implement a sustainable alternative concept for the future of these hospitals.

Based on current knowledge of the facts, RHÖN assumes that the Bundeskartellamt will clear the transaction for a total of 40 hospitals within the procedural deadline.
