The German Bundeskartellamt (Federal Anti-Trust Office) has finally cleared the planned transaction; the agreement can now be executed. Almost all 40 hospitals will be transferred to Helios/Fresenius pursuant to the formal completion yesterday. Two sites – HSK Wiesbaden and Salzgitter – will be transferred immediately after consent by the municipalities.

The hospitals in Boizenburg, Cuxhaven and Waltershausen-Friedrichroda were no longer the subject of the decision by the anti-trust authorities; they will initially remain with the RHÖN-KLINIKUM AG corporate group. In the next few months RHÖN shall develop and implement sustainable concepts for the future of these facilities.

With ten hospitals in five locations, the "new" Rhön will now concentrate on expanding its expertise in medical science.

"The clearance by the merger control authorities was the last hurdle for the completion of the transaction. We now have a strong basis to continue our corporate history: with 5,300 beds, 15,000 employees and an annual revenue of approx. one billion Euros RHÖN will continue in the future to be one of the heavyweights among the hospital operators in Germany", CEO Dr. med. Dr. jur. Martin Siebert said.

The framework agreement to establish and develop a medical care network was also signed immediately after completing the transaction. Helios, Asklepios and RHÖN will work together to implement this idea; in essence it foresees providing additional healthcare services across the country. The Bundeskartellamt will review its anti-trust relevance in a separate proceeding.

At the same time RHÖN explicitly declares its loyalty to the site in Bad Neustadt where the head office is located; extensive investment plans are currently in preparation. A completely new building is planned to improve the site in Bad Neustadt by 2018 with an investment of approx. 150 million Euros. Furthermore the project has the ambition to set new ground-breaking standards in patient care, clinical equipment as well as in hospital architecture.
